1. Acceptance of Terms

By accessing or using Workaholic ("the Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Platform.

These Terms apply to all visitors, users, and others who access or use the Platform ("Users"). If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Workaholic is an AI-powered business operating system that provides tools for content generation, search engine optimization, email marketing, PPC advertising, media creation, voice assistants, chatbots, and related productivity features (collectively, the “Service”). The Service is accessed via a web-based dashboard and related APIs.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to Users.

3. Account Registration and Security

To use the Service, you must create an account. You agree to:

Provide accurate, current, and complete registration information
Maintain and update your account information as needed
Keep your password secure and confidential
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account

You may not create accounts by automated means or on behalf of others without authorization. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Sub-Accounts and User Roles

Depending on your subscription tier, you may create sub-accounts for team members or clients. As the primary account holder, you are responsible for:

All actions taken by your sub-account users
Ensuring your sub-account users comply with these Terms
Managing permissions and access levels for sub-accounts
Any content generated or published by sub-account users

5. AI Credit System

The Service operates on a credit-based usage model:

Each subscription tier includes a monthly allocation of AI credits
Credits are consumed per operation at rates specified in your plan
Unused credits do not roll over to the next billing cycle unless explicitly stated
Additional credits can be purchased through credit top-up packs
We may adjust credit costs for operations with notice to Users

6. Acceptable Use

You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include:

Generating or distributing illegal, fraudulent, or harmful content
Infringing on the intellectual property rights of others
Attempting to bypass usage limits, security measures, or payment obligations
Using the Service to send unsolicited messages (spam)
Reverse engineering, decompiling, or extracting source code from the Platform
Using automated tools to scrape or extract data from the Service without authorization
Engaging in any activity that disrupts or impairs the Service

7. AI-Generated Content

Workaholic uses artificial intelligence to generate content based on your inputs. You acknowledge and agree that:

You are solely responsible for the content you create, publish, or distribute using the Service
AI-generated content may not be unique and may resemble existing works
You should review and edit AI-generated content before publishing, especially for factual accuracy, compliance, and brand alignment
We make no guarantees about the originality, accuracy, or suitability of AI-generated content for your specific use case
You retain all rights to content you create using the Service, subject to the license granted below

8. Intellectual Property

8.1 Our Rights

The Platform, including its code, design, branding, algorithms, and underlying technology, is owned by Workaholic and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

8.2 Your Rights

You retain all intellectual property rights to content you create using the Service. By using the Service, you grant Workaholic a limited license to process, store, and display your content solely for the purpose of providing the Service to you.

8.3 Feedback

If you provide us with feedback, suggestions, or feature requests, we may use them without obligation to you.

9. Payment and Billing

Paid subscriptions are billed in advance on a monthly or annual basis as selected during signup. Additional terms include:

All fees are non-refundable except as explicitly stated in our refund policy
We use WooCommerce Subscriptions and Stripe for payment processing
Your subscription will automatically renew unless cancelled before the renewal date
We may change our fees with 30 days notice. Price changes do not affect current billing periods
Late payments may result in service suspension or account termination

10. Cancellation and Termination

You may cancel your subscription at any time through your billing dashboard. Upon cancellation:

Your account will remain active until the end of the current billing period
No further charges will be applied after cancellation
We do not provide prorated refunds for partial billing periods
We reserve the right to terminate accounts for violation of these Terms with or without notice

Upon termination, your access to the Service will cease, and your data will be deleted within 30 days unless required otherwise by law.

11. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points include:

We implement industry-standard security measures to protect your data
We do not sell your personal information
We do not use your content to train third-party AI models without your consent
Data processed through locally-hosted models never leaves your infrastructure

12. Service Level and Availability

We strive to maintain 99.9% uptime for the Service, excluding scheduled maintenance. We are not liable for:

Downtime caused by third-party services (AI model providers, cloud infrastructure)
Service interruptions due to factors outside our reasonable control
Downtime during scheduled maintenance windows (notified in advance)

13. Limitation of Liability

To the maximum extent permitted by law, Workaholic and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

14. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that:

The Service will meet your specific requirements
The Service will be uninterrupted, timely, or error-free
Results obtained from the Service will be accurate or reliable
AI-generated content will pass plagiarism checks or comply with platform-specific guidelines

15. Indemnification

You agree to indemnify, defend, and hold harmless Workaholic, its officers, employees, and agents from any claims, damages, losses, or expenses arising from:

Your use of the Service in violation of these Terms
Content you generate or publish using the Service
Your violation of any third-party rights, including intellectual property or privacy rights

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Platform. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of San Francisco County, California.
